Kim Seaton

Kim is an accomplished corporate attorney with extensive experience advising clients in various areas of law. Prior to joining LSL, Kim was Senior Business Counsel for a $7 billion division of International Paper Company, where she teamed with business leaders and senior management on a wide variety of matters. While at International Paper, Kim successfully dealt with legal and regulatory issues in areas as diverse as FDA law, federal and state laws protecting individual information, antitrust law, environmental law, bankruptcy law, litigation and dispute resolution, import and product content requirements and intellectual property law. She also coordinated and negotiated numerous multi-million dollar agreements with key customers and suppliers of International Paper located in the United States, Japan, Mexico, China, the European Union and the United Kingdom. These agreements included, among others, contracts for the sale of goods to world-wide electronics producers in Europe and Mexico, as well as agreements with a Japanese manufacturer granting International Paper exclusive rights to distribute products in both the US and Canada. In addition, Kim was a key member of multi-disciplinary teams exploring and developing new business models. By immersing herself in the client’s business operations, Kim was able to provide a unique legal perspective that both empowered the company and mitigated risk.

Kim began her legal career as a corporate/regulatory health care attorney, first at Taft Stettinius & Hollister LLP in Cincinnati and later at Squire Sanders & Dempsey LLP. In this capacity she advised hospitals, physicians’ practices, nursing homes and other health-care clients regarding Medicare and Medicaid laws and regulations, state and federal anti-kickback laws, Stark, the Federal False Claims Act, HIPPA and state licensing laws and regulations. While at Taft, Kim partnered closely with the legal team at Cincinnati Children's Hospital Medical Center, a renowned pediatric medical, research and teaching center. During this time, she was chosen to be a member of an in-house, multi-disciplinary team responsible for re-drafting all hospital bi-laws. At both Taft and Squire Sanders Kim represented major health care clients in several merger and acquisition transactions, including the acquisition of several physician practices (assets) and the sale of a privately owned hospital located in Arizona.

Kim also has considerable experience advising and representing creditor and debtor clients, including banks, businesses and hospitals, in both formal bankruptcy proceedings and complex commercial transactions. Those transactions include asset purchases and sales, real estate sales, leases of real and personal property, lender forbearances, debtor-in-possession financing and negotiation of bankruptcy disclosure statements. Kim has had significant involvement in both local cases and those that were national in scope, including In re Enron Corp., et al., In re Top Flite Golf Co., In re Lodestar Energy, and In re Eagle-Picher Holdings, Inc., et al..

Kim earned both a Bachelor of Science Degree in Biology (Chemistry minor) and a Master of Science Degree in Biology (Genetics emphasis) from Bowling Green State University in Bowling Green Ohio. She received her JD from Northwestern University School of Law in 1997. She is licensed in the State of Ohio and in the Federal Court for the Southern District of Ohio. She is a member of the Ohio State Bar Association and the Cincinnati Bar Association, and is a Fellow of the Cincinnati Academy of Leadership for Lawyers.

Prior to becoming an attorney, Kim was a Medical Technologist in the clinical laboratory at Nationwide Children’s Hospital in Columbus, Ohio. While at Nationwide, she was appointed to a select group of technologists who, under the supervision of clinical pharmacologists, advised physicians regarding dosing, steady state, potential interactions and side effects for various therapeutic medications. Kim also was selected to perform molecular genetics research to ascertain the efficacy of predictive dosing for certain anti-seizure drugs.

Kim spent several years as Secretary for the Board of Trustees of Centerpoint Health, a comprehensive behavioral health care provider for children, adults and families in the greater Cincinnati area. In 2010 Kim became a guide for a LifePlan pilot program. LifePlan is a mentoring program that pairs adults with teenagers - often from disadvantaged areas of the city. The purpose of the LifePlan is to assist the teens in identifying short-term and long-term goals for their lives as well as the steps they intend to take to accomplish those objectives.

Kim is an avid fan of Big 10 Football and Formula One Racing.
